1. General

These Terms of Use ("Terms") govern your access to and use of all Anansi-branded websites including https://www.anansidata.com and all linked websites ("Website"), operated by Anansi Data Analytics Pte. Ltd. and its subsidiaries and affiliates (collectively, "Anansi"), including any website used to access Anansi products or services ("Services"). By accessing or using the Website, you agree to these Terms. If you do not agree, please do not use the Website.

Anansi reserves the right to modify, remove, or add to these Terms at any time at its sole discretion by posting amended Terms on the Website. Continued use after such posting signifies acceptance of the updated Terms.

Your use of the Website is also governed by the Anansi Privacy Policy, which is hereby incorporated by reference.

12. Changes to These Terms

Anansi may modify or replace these Terms at any time. Material changes will be preceded by at least 30 days' notice where reasonably practicable. Continued use after changes means acceptance of the updated Terms. If you do not agree, discontinue use immediately.

13. Miscellaneous

These Terms constitute the entire agreement regarding your use of the Website and supersede prior agreements. If any provision is invalid or unenforceable, the remainder shall remain in full force.

Failure to enforce any provision does not waive future enforcement rights. These Terms do not confer rights on third parties.

14. Permitted Use

Authorized Users may:

• Download, store, and use Content on secure internal storage accessible only to authorized personnel; • Incorporate Content into internal software or analysis tools; • Use Services to create "Resultant Data" for internal business analyses and limited distribution to clients under conditions specified hereunder.

You may not disclose Resultant Data or Content beyond authorized Users or use it for competitive purposes against Anansi.

15. Term and Termination

The Agreement term begins on the date specified and renews annually unless either party gives 60 days' prior notice.

Either party may terminate for uncured material breach with 30 days' notice. Anansi may terminate immediately for breaches of license, permitted use, intellectual property, confidentiality, indemnity, or related provisions.

16. Effect of Termination

Upon termination:

• Access and licenses terminate; • You must cease use and return or destroy Content and Services, certifying compliance; • Unpaid fees become immediately due; • You may retain Resultant Data for internal use if termination is not for your default.

Termination does not relieve you of liabilities accrued before termination.

17. Intellectual Property

All intellectual property rights in the Website, Services, Content, software, trademarks, data, and related materials remain with Anansi or its licensors. You agree to protect these rights and notify Anansi of any unauthorized use.

You may not use Anansi's intellectual property without prior written consent.

18. Transmissions to Anansi

By submitting any ideas, suggestions, feedback, or data through the Site or Services, you grant Anansi a perpetual, irrevocable, royalty-free license to use, reproduce, and distribute such transmissions without obligation.

19. Registration

Access may require account creation with accurate information. You are responsible for maintaining confidentiality of your access credentials and all activities under your account. Unauthorized use must be reported immediately.

Accounts are non-transferable and limited to one set of credentials per user unless otherwise authorized.

You may access third-party data within the Services ("Third Party Data"), owned by suppliers ("Suppliers") and subject to additional terms. You agree not to misuse Third Party Data and will comply with Supplier and Anansi requirements to protect such data. Suppliers are third-party beneficiaries of these Terms.

Anansi disclaims warranties regarding Third Party Data.

22. Limitation of Liability

To the fullest extent allowed by law, Anansi and its affiliates are not liable for any damages arising from use or inability to use the Website or Services, including direct, indirect, incidental, or consequential damages, even if foreseeable.

This does not limit liability that cannot be excluded under applicable law.

23. No Waiver

Failure to enforce any right under these Terms does not waive future enforcement rights.
